These terms are the agreement between Vorelai and the business that uses it (the "Customer", "you"). By creating a workspace, starting a trial or paying for a plan, you accept them on behalf of your business, and confirm you may bind it.
1. What Vorelai is
1.1 Vorelai gives businesses AI voice agents that answer their phone calls. The Customer connects its own phone system (PBX) or phone carrier to Vorelai over a SIP trunk, sets up its agents in the dashboard, and decides which calls go to them.
1.2 Vorelai is for businesses, not for personal or household use. If the law where you are gives consumers rights that these terms would take away, you confirm you aren't using Vorelai as a consumer.
1.3 The AI model that listens and speaks on calls is Google's Gemini. Vorelai's service is everything around it: the connection to your phone system, the agents and their knowledge, tools and bookings, the call records, and the dashboard.
2. Your workspace
2.1 You give accurate details when you sign up and keep them current. You're responsible for the people you invite to your workspace and for what they do in it, and for keeping your sign-ins, trunk passwords and API keys secret.
2.2 Tell us at once at support@vorelai.com if you think someone has got into your workspace or your trunk credentials without permission.
3. The free trial
3.1 A new workspace gets a free trial of 14 days, with $1 of calls on us and no card needed. During the trial, calls are limited to 5 minutes each and knowledge is limited in size, unless you buy credit or add your own Gemini key.
3.2 When the trial ends, agents stop answering until you choose a plan. We may end trials that are used to get around these limits, for example many trials for one business.
4. Plans and payment
4.1 Plans. A plan is a subscription, paid monthly or yearly, that sets how many agents may answer, how many calls may run at the same time, how many phone systems may connect, and how much knowledge your agents may hold. Prices are on our website and in the dashboard. A plan renews automatically at the end of each period until you cancel it.
4.2 Calls. Calls are paid for in one of two ways, which you choose in the dashboard:
- Vorelai credit. You buy credit in advance. Each call is charged Google's price for the model, plus our fee (25% of Google's price today), and both are shown on the call. Credit never expires. Calls whose cost can't be measured are charged by their length, at the rate shown in the dashboard.
- Your own Gemini API key. Google bills you directly for the model, under your own agreement with Google, and we add no fee. You're responsible for your key, its billing and the terms Google applies to it. A key on Google's free tier may let Google use what's said on your calls; use a paid one.
4.3 Our reseller. Payments are taken by Lemon Squeezy, our reseller and merchant of record, which sells you the plan and the credit on our behalf and handles taxes and invoices. Its own terms apply to the purchase. Prices don't include taxes, which are added at checkout where they apply.
4.4 Spending limits. You can set a monthly spending cap for your workspace. When your credit or your cap runs out, new calls aren't answered by the agent; they go to the fallback number you set on your phone system.
4.5 Late payment. If a plan payment fails, the service keeps running for 7 days while you fix it. After that the workspace is suspended: agents stop answering and calls go back to your phone system, but you can still sign in and pay.
4.6 Price changes. We tell you by email at least 30 days before a price change for your plan or our fee takes effect. It applies from your next period after that. If you don't want it, cancel before then.
4.7 Refunds are covered by our Refund policy.
5. Cancelling
5.1 You can cancel your plan at any time in the dashboard. It runs to the end of the period you paid for, then ends. You can stop agents from answering at any moment.
5.2 When a plan or trial ends, agents stop answering, and you can still sign in to read your calls and choose a plan. We delete the workspace and everything in it 90 days later, or within 30 days if you ask us to sooner (see Data retention). Ask before then for a copy of your call records if you want one.
6. Your responsibilities on calls
6.1 The law on your lines. You decide what your agents say and do on your phone lines, and you're responsible for that complying with the law where you and your callers are. In particular:
- Telling callers it's an AI. Agents say they're an AI as they greet, unless you switch that off. Keep it on unless your callers are told another way.
- Recording. If you turn recording on, you're responsible for having a lawful basis and any consent the law requires. See Recording and AI disclosure.
- Callers' data. You're the controller of your callers' personal data and answer their requests. We process it for you under our Data Processing Agreement, which forms part of these terms.
6.2 Not an emergency service. Vorelai can't connect anyone to emergency services and must not be the only way a caller in danger can reach help. Keep emergency calls and urgent medical, legal or safety matters away from agents, or make sure agents tell such callers what to do and pass them to a person.
6.3 AI makes mistakes. An agent can misunderstand a caller, mishear a number, or say something wrong, even with good instructions. You're responsible for how you set up your agents, what you rely on them for, and checking the records of their calls. Don't use agents to make decisions with legal or similarly serious effects on callers without a person reviewing them.
6.4 Health information in the US. Vorelai doesn't sign business associate agreements today. If you're a covered entity or business associate under the US Health Insurance Portability and Accountability Act (HIPAA), don't use Vorelai for calls that involve protected health information unless we have signed one with you.
6.5 Your phone system. You're responsible for your phone system, your trunk to Vorelai and its settings, your numbers and your carrier, and for a fallback number that works when the agent can't take a call.
7. Acceptable use
You won't use Vorelai, or let anyone use it:
- to break any law, or to deceive, harass, threaten or defraud anyone, including by pretending an agent is a particular real person;
- for content or calls that Google's Generative AI Prohibited Use Policy forbids;
- to collect payment card numbers, passwords or similar secrets by voice;
- to get around its limits (calls at once, minutes, trials), to test or attack its security without our written permission, or to overload it;
- to copy, resell or offer it to others as your own service without our written agreement (agencies and resellers who set it up for their own clients: write to us);
- to build a competing product from it, or to reverse-engineer it except where the law allows.
We may suspend an agent, a trunk or a workspace that breaks this section, or that puts the service or others at risk. We'll tell you why, unless the law or a security reason stops us, and restore it once the problem is fixed, unless the breach is serious or repeated.
8. Your content
8.1 What you put into Vorelai (your agents' instructions, knowledge, settings) and what your calls produce (transcripts, summaries, recordings) are yours. You give us the right to use them only to provide, secure and support the service for you.
8.2 We don't use your content or your calls to train AI models, and we don't sell it.
8.3 You confirm you have the right to put your content into Vorelai, and that using it there doesn't break anyone's rights.
9. Services you connect
Vorelai can work with services you choose: your calendar (Google Calendar, Cal.com), your own tools through their API, webhooks, and your own Gemini key. You use them under your agreements with their providers. We aren't responsible for them, and when one fails or changes, the feature that depends on it may stop working.
10. Our service
10.1 We work to keep Vorelai running and fast, and to send a caller to your fallback number when an agent can't take or finish a call. We don't promise it will be available without interruption or free of errors; we do maintenance, and services we depend on (Google, our hosting and database providers, phone networks) have outages too.
10.2 We may change Vorelai: add, improve and sometimes remove features. Before removing a significant feature you use, we tell you by email, 30 days ahead where we reasonably can.
10.3 Vorelai, its software and its brand are ours. These terms don't give you any rights to them beyond using the service. If you send us ideas or feedback, we may use them without owing you anything.
11. Confidentiality
Each of us keeps the other's non-public information confidential, uses it only for this agreement, and shares it only with people who need it for that and are bound to confidentiality, or when the law requires.
12. Warranties and liability
12.1 Apart from what these terms say, Vorelai is provided "as is". To the extent the law allows, we give no other warranties, for example that it suits a particular purpose, or that agents will always understand or answer correctly.
12.2 Neither of us is liable to the other for lost profits, revenue, business or data, or for indirect or consequential losses, even if foreseeable.
12.3 Each party's total liability under this agreement in any 12 months is limited to what the Customer paid Vorelai in the 12 months before the event that caused it, or $100 if that's more.
12.4 Nothing in these terms limits liability that the law doesn't allow to be limited, such as for fraud, or for death or personal injury caused by negligence. The limits in 12.2 and 12.3 don't apply to your payment obligations or to section 13.
13. Claims about your use
You'll defend us against claims by others, and pay the damages and reasonable costs that result, where the claim arises from your content, your calls, your phone system, or your use of Vorelai against these terms or the law (for example, recording calls without the consent the law requires).
14. Ending the agreement
14.1 You may end the agreement at any time by cancelling your plan and asking us to delete your workspace.
14.2 We may end it with 30 days' notice by email. If we do, we refund what you paid for the time after it ends, and your unused credit.
14.3 Either of us may end it at once if the other seriously breaks these terms and doesn't fix it within 14 days of being told, or straight away for a breach that can't be fixed.
14.4 Sections 5.2, 8, 11, 12, 13 and 15 continue after the agreement ends, as does anything you owe us.
15. General
15.1 Changes to these terms. We may update these terms. We'll post the new version here and email workspace owners at least 30 days before a change that matters takes effect. Using Vorelai after that means you accept it; if you don't, cancel before then.
15.2 Notices to you go by email to your workspace's owners; notices to us go to support@vorelai.com.
15.3 Events beyond control. Neither of us is responsible for failing to perform because of events outside our reasonable control, such as outages of providers or networks, natural events, or acts of government.
15.4 Transfer. You may not transfer this agreement without our consent. We may transfer it to a company that takes over Vorelai's business, and will tell you.
15.5 The whole agreement. These terms, the DPA, the Refund policy and the plan you choose are the whole agreement between us about Vorelai. If a part of them can't be enforced, the rest still applies. Not enforcing a right isn't giving it up.
15.6 Law and courts. These terms are governed by the law of the Republic of Moldova, and the courts of the Republic of Moldova decide disputes, unless the law where you are requires otherwise. Before going to court, write to us and give us 30 days to resolve it.
